Question by Philly_spinner: In New York State, must a proxy be sent by direct mail in order to be valid or is a facsimile acceptable?

annual tenant shareholders meeting for a co-op, tenant shareholder unable to attend the meeting faxed her proxy to the board appointing another tenant shareholder to vote her shares at the meeting. Must the proxy be sent by direct mail in order to be a valid proxy?

It probably does not have to be sent by direct mail to be valid, but the secretary would generally have the discretion to reasonably determine the validity and acceptability of proxies. You should check the bylaws for the co-op, which may provide the answer.
